Company name: Geniee, Inc.(Headquartered in Shinjuku-ku, Tokyo; Tomoaki Kudo, President; hereinafter referred to as “Geniee”) has decided to enter into a capital and business alliance with SOCIALWIRE CO. This transaction is subject to the condition that a person nominated by Geniee holds a majority of the board of directors of SOCIALWIRE at the general meeting of shareholders of SOCIALWIRE scheduled to be held on June 27, 2024. After the third-party allotment of new shares and the appointment of a majority of directors, SOCIALWIRE will become a consolidated subsidiary of Geniee as of July 1, 2024.
Purpose of the Subsidiarization
Geniee operates across three core businesses: the “Advertising Platform Business,” “Marketing SaaS Business,” and “Overseas Business.” Notably, we’ve developed proprietary platforms such as GENIEE SSP and GENIEE DSP, serving both digital publishers and advertisers. Additionally, we’ve made strides in digital out-of-home (OOH) advertising. Complementing this, our Marketing SaaS Business focuses on CRM/SFA systems and chat customer service tools. In “Overseas Business” the company is expanding its business not only in Southeast Asia but also in India and North America.
SOCIALWIRE CO., the focal point of this alliance, specializes in digital public relations (PR), offering services like press release distribution and influencer management with business mission “Toward a world where your charm can shine.”
With this capital and business alliance, we aim to develop products that combine our technical capabilities with SOCIALWIRE’s knowledge in the digital PR field. In addition, we anticipate synergies through cross-selling promotion and joint marketing to existing clients of both companies. In the mid- to long-term, we will acquire new solutions in the “awareness” area of the marketing funnel, such as press releases and influencer PR, in order to build a comprehensive one-platform solution in the marketing domain, which is our goal.
